Terms of Service and End User License Agreement

There are four categories of members in the CT2Learn Evolved Learning System. All member categories are INDIVIDUAL accounts, for use by the specific individual associated with the user name associated with the account:
Individual Memberships in the CT2Learn Evolved Learning System are expressly for the use of the individual associated with the user name on the account. Sharing of accounts is strictly prohibited. Account usage is monitored and multiple sign-ons by the same user on multiple devices may result in cancellation of membership. In the event CT2Learn deems a member to be in violation of these terms, the member's account will be terminated. In this event, no refund or pro-rated refund will be given.
Instructors: It is especially important for Instructor members to abide by these terms as this membership category includes access to sensitive academic content (tests, quizzes, etc.). Diligent care is required in order to prevent these materials from being compromised. Instuctors found to be in violation of the no-sharing terms will have his/her account cancelled.
With the exception of Monthly Recurring Payment Members, all paid memberships automatically expire at the end of the paid subscription. Instructor-level memberships are set for one-year periods and can be renewed without interruption by contacting CT2Learn to confirm continued use of the ELS for classroom use.
Upon expiration or cancellation of a paid membership, your account will automatically revert to "Basic Member" status.
Monthly Recurring Payment Members may cancel by clicking on your Member Profile \ Manage Subscription \ Cancel Membership links..
For Monthly Recurring Payment Members: subscriptions automatically charge your credit card each month for as long as you keep your subscription. In the event of a pricing increase of the monthly membership fee, you will be notified in writing prior to the end of your subscription period and given the choice to continue as a Recurring Payment Member.
It is the policy of CT2Learn to not offer refunds for paid subscriptions. However, we understand that class schedules can change at the beginning of a new school term, therefore, we will offer a 5-day refund window for new student member subscribers at the beginning of a school term. To request a refund, select the Support link from the Member Home page and let us know your name, school, and date the school term began. Refunds are not provided for cancellation of monthly recurring payments.
The CT2Learn Evolved Learning System is a community of teachers, learners, and industry professionals, and as such, it is expected and required that members conduct themselves in a manner that demonstrates respect for other members, ELS subject matter experts, and guests of the site.
Members exhibiting offensive behavior or any behavior that is deemed malicious, disrespectful, or not in keeping with the educational purpose of the site will be warned that such behavior jeopardizes their continued participation in the community, and may result in being removed without further warning as members of the site. Members removed under this clause are not entitled to a refund of membership subscription fees.

When your permission is specifically provided, CT2learn will use your name to promote the CT2Learn ELS on the CT2Learn.com website, Curriculumtechnology.com website, and associated social media pages.
Definitions: "Content" means all of the files, web-based content or other media found on the www.ct2learn.com web site ("Site") that are copyrighted by Curriculum Technology, LLC ("CT"). "Licensee" or "End User" means you, including instructors, students, or any other person or persons who have been granted viewing access to the www.ct2learn.com platform. "Public Domain Content" is that content which CT has incorporated into the Site that is not protected by U.S. copyright. "Instructor" is an approved (i.e. confirmed by CT) classroom (on ground or online) teacher at a U.S. institution of learning.
Grant of License: grant of license is provided by either 1) For Students: registering and paying for a renewable subscription to access content on the Site; 2) For Instructors: being approved and certified by CT that you are an Instructor and intend to utilize the Site in class activities that require your individual students to register and pay the subscription fee. You may not rent, lease, or resell the Content. You may not disassemble, decompile, reverse engineer or modify the Content in any way. This license starts from the date after you receive access to the Content and will last as long as the terms of this agreement.
Term: The term of this license enables Licensee access to the Content for the duration of the subscription agreement. Term of license begins on the date End User subscribes to the site, and ends on the last day of the purchase term.
LIMITATION OF LIABILITY: IN NO EVENT WILL CT OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY DAMAGES, CLAIMS OR COSTS WHATSOEVER OR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL DAMAGES, OR ANY LOST PROFITS OR LOST SAVINGS, EVEN IF CT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGES, CLAIMS OR COSTS.
DISCLAIMER: CT HAS TAKEN EVERY EFFORT TO MAKE THE SOFTWARE RELIABLE AND ACCURATE. HOWEVER, IT IS THE END USER'S RESPONSIBILITY TO INDEPENDENTLY VERIFY THE ACCURACY AND RELIABILITY OF THE SOFTWARE. NO EXPRESS OR IMPLIED WARRANTY IS PROVIDED BY CT OR ITS DEVELOPERS ON THE ACCURACY OR RELIABILITY OF THE SOFTWARE.
Licensee Usage Data: CT shall have the right, but not the obligation, to use, in any manner and for any purpose, any information gained as a result of Licensee's use of the Content. Such information shall include, but not be limited to, changes, modifications, reports, feedback, and corrections to the Content. CT shall have the right to use, at its sole discretion, all such information, including but not limited to reporting of access activity to End User's associated educational institution for the purpose of academic tracking. Notwithstanding the aforesaid, CT will not sell, rent, or otherwise make available any Personal Information to third party vendors and shall have no right to use the private, Personal Information (as defined below), or Confidential Information (as defined below) of Licensee except to carry out the purposes for which such information is disclosed by Licensee to CT.
Personal Information: CT shall comply with all applicable California laws that require the notification of individuals in the event of unauthorized release of any Personal Information of Licensee, or other event requiring notification. For purposes of the foregoing, "Personal Information" includes, but is not limited to, names, social security numbers, home addresses, telephone numbers, and financial information. In the event of a breach of any of CT's security obligations or other event requiring notification under applicable California law, CT shall assume responsibility for informing all such individuals in accordance with applicable California law and to indemnify, hold harmless and defend Licensee from and against any claims, damages, or other harm related to such event.
Confidential Information: By virtue of this License, the parties may have access to information, data, and/or documents that are confidential to the other party ("Confidential Information"). Confidential Information includes the Content, source code, all information of CT and all information relating to or concerning its Content and technology; all information and records of Licensee and its customers and employees, and the terms of this License.
Restrictions: The parties shall hold each other's Confidential Information in confidence during the term of this License and after its termination. The parties shall not, unless required by law, make each other's Confidential Information available in any form to any third party or to use each other's Confidential Information for any purpose other than the implementation of this License. Each party shall take all reasonable steps to ensure that Confidential Information is not disclosed or distributed by its employees or agents in violation of this License. Licensee shall not permit any third party, or any employee, representative, contractor, or agent that develops or intends to develop, markets or licenses academic and training content a courseware and support materials delivered as an integral component of the required curriculum with functionality and program content similar to the educational programs of the Content to have access to the Content or to Confidential Information.
Hosting: Licensor shall employ a third party vendor to host the Software. CT shall have no liability to Licensee for: i) any compromise of data, loss of data, or corruption of data; or ii) hacking, viruses, Trojan horses, trap doors, back doors, Easter eggs, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or Personal Information, Confidential Information, or other private information of Licensee, borrowers of Licensee or potential borrowers of Licensee stored on the servers of the third party host. Licensee's sole remedy for the aforesaid shall be an action against the hosting entity.
